General Information:
A corporation is a legal entity that is separate and distinct
from the person who owns it. A corporation is considered an
artificial person but has similar rights in law to those of a
natural person. A corporation can own property, incur debts, sue
and be sued. The ownership in a corporation is held by
shareholders. Because the corporation is a separate entity from
its owners, shareholders have no legal liability for its debts,
and this is the big advantage of doing business using a
corporation.
Type of Corporations:
There are two types of corporations private and public. A
private corporation is owned by specific individuals and/or one
or more corporations. A public corporation on the other hand,
may be owned by any person, as its stocks are traded in a stock
exchange market, such as the Wall Street.
Frequently asked questions:
What is a shareholder?
As explained above, a corporation is owned by shareholders. A
shareholder can be either a natural person OR another
corporation. A corporation may be owned by one or more
shareholders.
Can a non-US citizen own a corporation in the US?
Yes, a non-US citizen can own a U.S. corporation and the
corporation may do business in the US regardless of the person
immigration status in the US. There is no requirement that an
owner of a corporation (shareholder) be a U.S. citizen. However,
owning a corporation in the US does not, by itself provide the
right to work and/or live in the United States. If you own a
corporation, you may enter the US from time to time with a
B-1/B2 Visa in order to supervise its operations. In certain
instances you may be eligible for an L-1 Visa if your
corporation is a branch or affiliation of a foreign corporation,
for an E-1 Visa, if your country is a party to a Treaty Trader
agreement with the US and your corporation is trading with the
US OR for an E-2 Visa, if your country is a party to a Treaty
Investment and your corporation is investing in the US.
Will I get a Social Security Number (SS#) OR Tax ID Number (EIN#)
so I can pay Taxes in the US?
NO. Today, ONLY a person that has permission to work in the
United States may apply for a Social Security Number. A person
is typically permitted to work in the US if he is a US citizen,
is a Green Card holder OR is working pursuant to working Visa.
You can apply for EIN# if you own a corporation. In order to
that you will normally need a SS#. However, if you do not have
one, a copy of your foreign passport may be used as a
substitute.
